1. Scope and Acceptance
These License Terms ("Terms") govern the purchase and use of all software products ("Software") sold by Arts Unique, Andreas Burget, Spitzackerweg 13, 79576 Weil am Rhein, Germany ("Licensor", "we", "us") through store.arts-unique.com.
By completing a purchase, downloading the Software, entering a license key, or otherwise using the Software, you ("Licensee", "you") agree to be bound by these Terms in full. If you do not agree, do not use the Software and contact us immediately at store@arts-unique.com.
These Terms apply in addition to our Privacy Policy and any product-specific terms stated on the respective product page. In case of conflict, product-specific terms take precedence.
2. Grant of License
2.1 Nature of the License
Upon successful payment and license key delivery, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely for your own lawful purposes, subject to these Terms.
You are purchasing a license to use the Software — not the Software itself. No title, ownership, or intellectual property rights in or to the Software are transferred to you at any point.
2.2 Scope of Use
Unless stated otherwise on the product page, your license permits:
- Installation and use on the number of domains, machines, or environments specified at purchase ("Activation Limit")
- Use by you personally, or by your organisation if purchased for business use
- Installation of updates released during the update entitlement period (see Section 6)
2.3 Activation Limits
Each license key carries a defined Activation Limit as stated on the product page. You may not exceed this limit. Attempting to circumvent, spoof, or manipulate the activation system constitutes a material breach of these Terms and will result in immediate license revocation without refund.
If you need to transfer an activation to a new device or domain, contact us at store@arts-unique.com. Reasonable transfer requests will be accommodated at our discretion.
3. Restrictions
You may not, under any circumstances:
- Redistribute or resell the Software, license key, or any part thereof
- Transfer or sublicense your license to any third party without our prior written consent
- Share your license key publicly or make it available to persons outside your organisation
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law
- Modify, adapt, or create derivative works of the Software without our prior written consent
- Use the Software to provide hosted or managed services to third parties (SaaS use) unless explicitly licensed for that purpose
- Remove, alter, or obscure any copyright, trademark, or proprietary notices within the Software
- Use the Software for unlawful purposes or in violation of any applicable laws or regulations
- Circumvent license enforcement mechanisms, including but not limited to license key validation, activation servers, or copy protection
Any use not expressly permitted under Section 2 is prohibited.
4. Intellectual Property
The Software, including all source code, object code, interfaces, documentation, graphics, and any updates or modifications thereof, is and remains the exclusive intellectual property of Arts Unique / Andreas Burget, protected under German and international copyright law (Urheberrechtsgesetz, UrhG) and other applicable intellectual property laws.
These Terms do not grant you any rights in the name, logo, or trademarks of Arts Unique.
5. License Key Security
You are solely responsible for keeping your license key confidential. You must:
- Not share your license key with unauthorised parties
- Not post your license key in public repositories, forums, or any publicly accessible location
- Notify us immediately at store@arts-unique.com if you believe your license key has been compromised
We reserve the right to revoke and reissue a license key in the event of suspected compromise, at our sole discretion.
6. Updates and Support
6.1 Updates
Unless stated otherwise on the product page, your license includes access to all Software updates released during the lifetime of the product ("Lifetime Updates"). Updates are provided at our discretion and do not constitute a new contract or reset any warranty period.
We reserve the right to discontinue a product, cease issuing updates, or release a successor product as a separate purchase. We will provide reasonable advance notice of any such discontinuation.
6.2 Support
We provide support by email at store@arts-unique.com. We aim to respond within 3 business days. Support covers installation issues and bugs reproducible in a standard environment. We do not provide support for:
- Modifications made to the Software by you or third parties
- Incompatibilities arising from your infrastructure, third-party services, or non-standard environments
- Issues caused by use outside the scope of these Terms
7. Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- WARRANTIES THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS
- WARRANTIES THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE
- WARRANTIES OF COMPATIBILITY WITH ANY PARTICULAR HARDWARE, OPERATING SYSTEM, OR THIRD-PARTY SERVICE
Under German law (§ 536a BGB), statutory warranty rights for defects existing at the time of purchase cannot be excluded. Nothing in this Section limits rights you may have under mandatory consumer protection law.
8. Limitation of Liability
8.1 General
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARTS UNIQUE OR ANDREAS BURGET BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL
- BUSINESS INTERRUPTION OR COST OF SUBSTITUTE SOFTWARE
ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.2 Cap on Liability
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE RELEVANT LICENSE.
8.3 Mandatory Exceptions
Nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by our negligence (§ 823 BGB)
- Fraudulent misrepresentation or wilful misconduct
- Liability under the German Product Liability Act (Produkthaftungsgesetz)
- Any other liability that cannot be excluded or limited under applicable law
9. Indemnification
You agree to indemnify, defend, and hold harmless Arts Unique and Andreas Burget from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Software in violation of these Terms
- Your violation of any applicable law or regulation
- Infringement of any third-party right caused by your use of the Software
10. License Revocation
We reserve the right to revoke your license with immediate effect and without refund if:
- You materially breach any provision of these Terms
- You attempt to circumvent activation or copy protection mechanisms
- You distribute, resell, or publicly expose your license key
- You use the Software for unlawful purposes
Upon revocation, you must immediately cease all use of the Software and destroy all copies in your possession.
11. Termination
These Terms remain in effect until terminated. You may terminate at any time by ceasing use of the Software and destroying all copies. We may terminate your license as set out in Section 10. Upon termination for any reason, Sections 4, 7, 8, 9, 12, and 13 survive indefinitely.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
For consumers within the EU, mandatory consumer protection provisions of your country of residence apply in addition to German law and cannot be overridden by these Terms.
The place of jurisdiction for all disputes arising out of or in connection with these Terms, to the extent legally permissible, is Freiburg im Breisgau, Germany.
13. Miscellaneous
13.1 Entire Agreement
These Terms, together with the Privacy Policy and any product-specific terms, constitute the entire agreement between you and Arts Unique regarding the Software and supersede all prior agreements or understandings.
13.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable. The remaining provisions shall continue in full force and effect.
13.3 No Waiver
Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
13.4 Amendments
We reserve the right to amend these Terms at any time. The version in effect at the time of your purchase governs your license. We will notify registered account holders of material changes by email.
13.5 Language
These Terms are provided in English. In the event of any conflict between an English version and a translated version, the English version prevails.
